Capinnova Investment Bank’s Corporate Finance division provides innovative solutions to companies and financial institutions. Corporate Finance unit acts as a channel between clients seeking capital (debt and/or equity) and capital providers.

Corporate Finance tailors financial transactions to meet clients’ needs and risk profiles. In existing setup, there are teams in the division providing capital market, advisory and structured finance products/services. The areas of specialization include:

Capital Markets
The division mainly specializes in institutional relationship building and selling of structured products. The Capital Markets team closely works with the Structured Finance team for the pricing / placement of debt and hybrid products. In addition, the division also works closely with Shari'a Assurance to ensure that the Shari'a-compliant investment products meet all the investment needs of the clients.

  • Debt Capital Market (DCM)
    Corporate Finance services extend to DCM for arranging debt packages to meet the client’s requirements through primary-Market Financing facilities, Primary-Market Structured Finance Facilities, Debt Restructuring and Refinancing. DCM arranges Sukuks, Convertible Sukuks, Islamic Syndications, Islamic Club Deals, Islamic Mezzanine Finance, Structured finance including real estate mortgage securities, asset-backed securities, corporate bonds and project finance under the following structures Mudarabah, Muskarah, Ijarah, Istisna’a and any other finance mode approved by Shari'a.
  • Equity Capital Markets (ECM)
    Corporate Finance would provide Capinnova Investment Bank’s clients with access to equity markets through Primary-Market equity capital issuance, Securities Listing and Recapitalization. ECM covers Public and Rights Offering, Private Placements, and Hybrid Securities.

Principal Financing
Principal Finance unit attempts to work closely with developers, entrepreneurs, high net-worth individuals, banks, corporate, government agencies and private equity firms to source, structure and execute buy-side investment opportunities including leverage finance of merger and acquisition transactions. Capinnova Investment Bank’s investments may take the form of senior, or mezzanine financing, convertible securities and selected equity.

Building on the expertise of its team, Corporate Finance would provide Capinnova Investment Bank’s clients with strategic advisory to prepare for any capital issuance (Debt and Equity).
Advisory service covers debt, equity and hybrid capital raising, ratings assignment, capital restructuring, Valuation advisory, Family business conversion to corporate structure advisory, Corporate Succession Planning, Merger and Acquisitions valuation, Merger and Acquisition financing, Merger and Acquisition sourcing and negotiation and Advice and guidance to clients on converting from a conventional business model to an Islamic structure.

Corporate Finance Industry Focus
Corporate Finance's industry focus will include, but not limited to, power generation and transmission, utilities, telecommunication, project/Infrastructure, gas and oil, real estate, transportation, industrial infrastructure, leasing, structured municipal financing, and renewable energy.

The team demonstrates a unique blend of technical skills, combined with broad experience in the origination, structuring and placement of complex Shari'a-compliant financial transactions. Capinnova Investment Bank’s distribution network works closely with the Corporate Finance division to raise capital across a widespread investor base spanning the Middle East, Southeast Asia and Europe.
